Mergers & Acquisitions

Alphamosaic, Ltd.

United Kingdom-based Alphamosaic Limited, a privately-held developer of advanced mobile imaging, multimedia, and 3-D graphics technology, retained Shields & Company to assist in evaluating a prospective acquisition by the Broadcom Corporation. As a result of the completed transaction, certain members of the company's management were issued securities in exchange for their ownership interest.

Charter Systems, Inc.

Charter Systems, Inc., a leading provider of enterprise network services, network design, and implementation services, retained Shields & Company to structure and negotiate the terms of a recapitalization of its finances. The proceeds of the successful placement of $4.5 million of equity securities with two institutional investors provided substantial growth capital for Charter Systems.

Cri-Tech Technologies, LLC

Cri-Tech Technologies, a leading domestic manufacturer of fluoroelastomer compounds and additives, LLC retained Shields & Company to evaluate a range of strategic alternatives that would provide liquidity for its major shareholder and enable the company to strengthen its leading position on the specialty compound market. The result of the sale process was the acquisition of Cri-Tech by Daikin America, Inc., the domestic chemical division of Daikin Industries, Ltd. The transaction allowed Daikin America to further expand both its domestic and global presences.

Micro Electronic Technologies, Inc.

The Board of Directors of Micro Electronic Technologies, Inc., a rapidly growing contract manufacturer in the electronics industry, engaged Shields & Company to analyze the alternatives to fund the company's continuing expansion, as well as provide liquidity for its shareholders. Micro Electronic Technologies was subsequently acquired by Danis Asset Management, Inc. The Company's shareholders achieved liquidity, and its senior management continues to have a significant role in the combined company.

Netegrity, Inc.

Netegrity, Inc. retained Shields & Company to assist in the acquisition of Israel-based Business Layers, Inc., a global leader in provisioning software. The transaction positioned Netegrity as a leading independent vendor offering the most comprehensive identity and access management solutions available.

RETCONN, Inc.

RETCONN, Inc., a manufacturer of subminiature coaxial contacts and subminiature coaxial connectors, retained Shields & Company to assist the company in a strategic sale to a potential suitor. The process resulted in the company's acquisition by Semiconductor Packaging Materials Co., Inc., a manufacturer of bonding wire, preforms of alloys, clad materials, and thermal management materials. RETCONN was able to uphold its mission statement and retain a majority of its employees.

Innovative Clinical Solutions, Ltd.

Innovative Clinical Solutions, Ltd., a service provider for the pharmaceutical and managed care industries, retained Shields & Company to render a fairness opinion to its Board of Directors. Following the transaction, the Clinical Studies, Ltd. division of the company became a wholly-owned subsidiary of Comprehensive NeuroScience, Inc., a privately-held clinical knowledge company focused on the development, evaluation, and appropriate use of drugs used to treat neuropsychiatric illnesses.

Prenatal Diagnostic Center

Prenatal Diagnostic Center, a provider of genetic laboratory services, retained Shields & Company to identify a suitable acquirer and negotiate a transaction that would maximize shareholder value. The sale process resulted in the company's acquisition by the Genzyme Corporation, and the company's shareholders received liquidity for their ownership interest.

Rhode Islanders Saving Energy (RISE)

Rhode Islanders Saving Energy ("RISE"), a clean energy solution provider, retained Shields & Company to act as its financial advisor in connection with its sale to Thielsch Engineering, a provider of engineering, energy, water, laboratory, and fabrication and repair services. Throughout the process, Shields & Company identified, contacted, and negotiated a successful transaction with Thielsch Engineering, achieving substantial liquidity for the company's shareholders.

William Goodman & Sons, LLC

William Goldman & Sons, LLC, a large independent paper packer, broker, and distributor, retained Shields & Company to assist in its sale to a strategic acquirer. The result of the sale process was the acquisition of a majority of the Company's operating assets by Casella Waste Systems, Inc., a publicly-traded waste management company in the northeastern United States. The transaction allowed Casella Waste Systems to consolidate a number of its recycling subsidiaries into one operation.

The Bard Group LLC

The Bard Group LLC, a leading physician-led healthcare consulting firm, retained Shields & Company to evaluate alternatives that would provide the company's partners with liquidity and enable it to strengthen its leading position in the healthcare industry. As a result of the sale process, The Bard Group was acquired by NCI Healthcare LLC, an independent business services consulting firm and a wholly-owned subsidiary of Navigant Consulting, Inc. The acquisition provided enhanced healthcare consulting capabilities to both The Bard Group and NCI Healthcare.

Charter Systems, Inc.

Charter Systems, Inc., a West Newton, Massachusetts-based leading provider of proprietary remote network management, design consulting, and implementation services, retained Shields & Company to structure a recapitalization to partially buy out one shareholder and position the company for growth opportunities. Shields & Company continued to advise Charter Sysytems in a merger with BISYS, Inc., a NASDAQ-traded company specializing in providing outsourcing services to financial institutions. The transaction provided shareholders with liquidity and the Company with an attractive corporate partner for the future. Charter Systems expected to continue on its growth path with the benefit of access to the established BISYS relationships with financial institutions around the country.
